These Terms of Service ("Terms") are a legal agreement between you and STAKD LLC, a limited liability company registered in the State of Maryland, USA ("STAKD", "we", "us"). They govern your use of the STAKD mobile app, website, and related services (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or guardian, and only where an adult account holder or an approved program (such as a school or community cohort) manages the account. Parents and guardians are responsible for their minors' use.
STAKD offers two modes. In Private mode your data stays only on your device. In Connected mode you create an account and your data is saved to the cloud so it syncs and is backed up. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly of any unauthorized use. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial use (or, for institutional customers, as set out in a separate written agreement). You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service except as allowed by law.
STAKD provides tools and educational content only. Nothing in the app, the Academy, BRIK's coaching, insights, scores, or any communication from STAKD is financial, investment, tax, accounting, or legal advice, and none of it is a recommendation to buy, sell, or hold any asset or to take any specific financial action.
We are not a licensed financial advisor, broker-dealer, or tax professional. You are solely responsible for your financial decisions. Figures shown (Keep Rate, summaries, projections, insights) are estimates based on the data you enter and may be incomplete or inaccurate. Consult a qualified professional before making financial decisions.
Some features let you record the outcomes of activities you performed elsewhere, including sports bets you placed with third parties, purely as personal record-keeping and performance tracking. STAKD does not offer, facilitate, enable, place, process, or accept any bet, wager, or game of chance, and does not handle any gambling funds. You are responsible for complying with all laws that apply to you, including gambling and tax laws in your jurisdiction.
You keep ownership of the information and content you create in the Service (your transactions, ventures, reflections, and notes — "Your Content"). You grant us a limited license to host, store, process, and display Your Content solely to operate and improve the Service for you (for example, to sync your account and compute your Keep Rate). We handle your data as described in our Privacy Policy. You are responsible for the accuracy and legality of Your Content.
You agree not to: use the Service for any unlawful purpose; enter data that isn't yours or that you have no right to use; attempt to breach security, access other users' data, or disrupt the Service; scrape, overload, or reverse-engineer the Service; or use it to build a competing product. We may suspend or terminate accounts that violate these Terms.
The Service, including the STAKD name and logo, the BRIK character, the Academy curriculum, designs, and software, is owned by STAKD LLC and protected by intellectual-property laws. These Terms don't grant you any rights in our brand or content except the limited license to use the Service.
The Service relies on third parties (for example, cloud hosting, the app stores, and analytics providers). Their services are governed by their own terms, and we are not responsible for them. Links or integrations to third-party services are provided for convenience and are not endorsements.
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that any result or figure it shows is accurate or reliable.
To the fullest extent permitted by law, STAKD LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim, or US$100. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
You agree to indemnify and hold STAKD LLC harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (for example, ownership, disclaimers, limitation of liability, and governing law) will survive.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the app. Your continued use after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Maryland will have jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
